These terms govern your use of the OvernightOps website and any work order you purchase from us.

These Terms of Service ("Terms") govern your access to and use of the OvernightOps website and services, provided by DataRiver New Zealand Limited, NZBN 9429050155972 ("we", "us"). By using the website or authorizing a work order, you agree to these Terms.
1. The service
OvernightOps provides fixed-scope, deliverable-based technical operations work — including infrastructure-as-code, CI/CD, DevSecOps, observability and integration deliverables — performed asynchronously and returned as reviewable pull requests or artifact bundles. The specific deliverable, turnaround and price are recorded at checkout and form part of our Statement of Work.
2. Eligibility and corporate email
Checkout requires a valid corporate email address. Free webmail and disposable email domains are not accepted. You confirm that you are authorized to share any repository, configuration or specification you submit and to bind your organization to these Terms.
3. Orders and payment
- Prices are displayed in United States dollars (USD) and are fixed at checkout.
- Payments are processed by Stripe. We do not store your full card details.
- Work commences upon successful authorization and receipt of complete inputs.
- Fees are non-refundable once execution has commenced, except under our delivery guarantee.
4. Client responsibilities
You are responsible for providing accurate, complete and lawfully obtained inputs; for maintaining the validity of any access token you supply; and for not submitting material you do not have the right to share. You must not use the service to process data that is subject to restrictions incompatible with our data-handling practices.
5. Acceptable use
You must not use the service to build or distribute malicious code, to breach any law or third-party right, or to attempt to gain unauthorized access to any system. We may decline or cancel an order where we reasonably believe these Terms or applicable law would be breached.
6. Intellectual property
On full payment, deliverable artifacts are assigned to you as described in the Statement of Work. The OvernightOps name, website and underlying tooling remain our property.
7. Confidentiality
Information exchanged in connection with an order is treated confidentially by both parties, and order authorization incorporates mutual non-disclosure obligations.
8. Third-party services
We rely on third-party providers including Stripe (payments), Cloudflare (hosting and edge security), and email delivery services. Their terms and privacy practices apply to their portion of the service. We are not responsible for outages or acts of third parties.
9. Availability and disclaimers
The website is provided on an "as is" and "as available" basis. To the extent permitted by law, we exclude implied warranties. Nothing in these Terms limits the guarantees that cannot be excluded under the New Zealand Consumer Guarantees Act 1993 where it applies.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising from or relating to the service is limited to the fees paid for the affected work order, and we are not liable for indirect or consequential loss.
11. Suspension and termination
We may suspend or terminate access where these Terms are breached, where payment is reversed, or where required by law. Clauses that by their nature should survive termination (including confidentiality, intellectual property, liability and governing law) will survive.
12. Changes to these Terms
We may update these Terms from time to time. The version published at the time you place an order governs that order. Material changes will be reflected by the "last updated" date.
